Terms and Conditions

Chief Experts, Inc. ("Chief Experts," "we," "us," or "our") operates ChiefExperts.com and ChiefExpertsAcademy.com (collectively, the "Site") and provides related products, subscriptions, training, events, communities, and services (collectively, the "Services"). By accessing or using the Site or Services, you ("you" or the "User") agree to these Terms & Conditions (the "Terms"). If you do not agree, do not use the Site or Services.

These Terms include important provisions such as automatic renewal, limitations of liability, and an arbitration agreement/class‑action waiver. Certain features require your affirmative consent (e.g., checkout or upload forms).

1) Eligibility & Accounts
  • Age. The Site is intended for individuals 13 years of age or older. We do not knowingly collect personal information from children under 13 (per COPPA). If you are under 18, you may use the Site only with the involvement of a parent or legal guardian.

  • Account Security. You are responsible for safeguarding your login credentials and for all activity under your account. Sharing logins is not permitted. Our systems may suspend or terminate accounts that appear to be shared.

  • Accuracy of Information. You agree to provide and maintain accurate account, billing, and contact information.

2) Subscriptions, Billing & Auto‑Renewal
  • Plans. Some Services are offered via paid subscriptions (e.g., Pro Academy). Pricing, features, and availability may change from time to time.

  • Automatic Renewal. Subscriptions automatically renew for the then‑current term (e.g., monthly or annually) unless canceled before the renewal date. We send a renewal notice at least 7 days before an annual renewal.

  • Cancellation. You may cancel at any time by logging in and going to your account or by contacting us. Cancellation takes effect at the end of your current paid term; no refunds for partial terms unless required by law.

  • Free Trials/Promos. If offered, we will disclose trial length, renewal timing, and how to cancel before being charged.

  • Taxes. We may collect applicable taxes as required by law. You are responsible for any additional taxes or fees.

3) Lifetime & Version‑Specific Access
  • “Lifetime” Access. If a product or plan expressly includes "lifetime" access, it means access for as long as we continue to host and support that specific product on our then‑current platform. It does not include future products, features, or platform changes unless expressly stated.

  • Version‑Specific Courses. For products like Mastering Chief Architect, your access is tied to the version indicated at purchase (e.g., X16). Access to training for future software versions may be offered separately and may require additional fees.

4) Permitted Use & Prohibited Conduct
  • Personal Use. Content and downloads are for your personal, non‑transferable use in connection with your work or study. Do not copy, scrape, archive at scale, resell, or make unauthorized public postings.

  • No Unlawful Use. You agree not to use the Site or Services to violate laws, infringe IP rights, transmit malware, harass others, or interfere with security or operations.

  • Community Standards. Use your real name in community areas where requested. Be professional and respectful. No vulgarity, hate speech, threats, or harassment.

  • Advertising/Solicitation. No commercial advertising or solicitations except in areas we expressly allow (e.g., designated listings or threads).

5) Intellectual Property
  • Ours. The Site, Services, and all materials we provide (courses, videos, templates, images, text, code, logos, trademarks, etc.) are owned by Chief Experts or our licensors and are protected by IP laws. Except as expressly permitted, you may not copy, modify, distribute, perform, display, or create derivative works.

  • Yours. You retain ownership of content you upload or post ("User Content"), subject to the licenses you grant below.


6) User Content (Posts, Uploads & Sharing)
  • Voluntary Submissions. Members may upload plans, forms, libraries, templates, agreements, and related files (collectively, "Member Content"). All Member Content is subject to review and approval before posting and may be removed at our discretion.

  • License to Chief Experts. By submitting User Content, you grant Chief Experts a worldwide, non‑exclusive, royalty‑free, transferable, and sublicensable license to host, store, reproduce, adapt (e.g., for formatting), create derivative works (e.g., instructional annotations, examples), publish, perform, display, and distribute your content within our training products, Pro Academy, communities, and related promotional materials. This license survives termination only as to content already used, displayed, or incorporated into existing materials.

  • No Compensation. Submissions are voluntary and uncompensated unless we agree in writing otherwise.

  • Your Representations. You represent and warrant that you own or control the necessary rights in your User Content; that it does not infringe third‑party rights or contain unlawful material; and that you have obtained any required permissions (e.g., from clients or collaborators).

  • Member‑to‑Member Sharing Disclaimer. User Content provided by peers is as‑is. We do not verify accuracy, legality, or suitability. Your use is at your own risk.
  • Takedowns. We may remove or disable content we believe violates these Terms or others’ rights. See DMCA below.

7) AI Processing Disclosure
We may use automated tools, including artificial intelligence, to review, organize, classify, summarize, format, annotate, or create derivative explanatory materials from User Content for moderation, education, demonstration, or product‑improvement purposes. AI processing does not transfer ownership of your content and is used subject to the license above and our Privacy Policy.

8) Educational Use, Codes & Professional Disclaimers
  • Educational Use Only. Our training, templates, drawings, and details are provided for educational purposes and as general examples. They may not meet specific project conditions or local requirements.

  • Verify with AHJ/Professionals. Building codes and practices vary by jurisdiction. Always review with qualified professionals and your Authority Having Jurisdiction (AHJ) before use on a project. You are solely responsible for verifying accuracy, code compliance, dimensions, engineering, and suitability.

  • No Professional Services. Unless we have a separate signed agreement, we do not provide architectural, engineering, legal, tax, or other professional services. Nothing on the Site constitutes such advice.

9) Downloaded Content License
Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to download and use permitted materials for your internal business or study. You may not redistribute, resell, or publicly post downloaded files, nor remove notices or attribution.

10) Event Participation & Recordings
  • Recording Release. By attending a live or virtual Chief Experts event, you grant us permission to record, photograph, livestream, edit, and use your image, likeness, voice, and participation for educational and promotional purposes, in any media, without compensation.

  • Conduct. We may remove participants who disrupt events or violate these Terms, without refund.

11) Privacy
Your use of the Site and Services is also governed by our Privacy Policy, which is incorporated by reference. Among other things, it explains what we collect, how we use it (including AI uses), and your choices.


12) DMCA Copyright Policy
If you believe your work has been copied and posted on the Site in a way that constitutes copyright infringement, please send a written notice that includes the information required by 17 U.S.C. § 512(c)(3) to our designated agent:

We may remove or disable access to alleged infringing material and, when appropriate, terminate repeat infringers.

13) Third‑Party Sites & Tools
The Site may link to third‑party websites, software, or services. We are not responsible for their content, policies, or practices. Use at your own risk and review their terms and privacy policies.

14) Changes to Services or Terms
We may modify or discontinue features, content, or pricing. We may update these Terms from time to time. Material changes will be noted by updating the "Last Updated" date and, where required, by additional notice. Your continued use after changes means you accept the updated Terms.

15) Disclaimers; Limitation of Liability
  • As‑Is. The Site and Services are provided "as is" and "as available" without warranties of any kind, express or implied, including fitness, merchantability, or non‑infringement. We do not warrant uninterrupted or error‑free operation.

  • No Consequential Damages. To the maximum extent permitted by law, in no event shall Chief Experts or its owners, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or use, arising out of or related to your use of the Site or Services.

  • Cap on Liability. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Site or Services shall not exceed the amount you paid to us for the Service giving rise to the claim in the 12 months preceding the event (or $100 if you have not paid us).

  • Some Jurisdictions. Some jurisdictions do not allow certain disclaimers or limitations; in such cases, the foregoing applies to the fullest extent permitted.

16) Indemnification
You agree to defend, indemnify, and hold harmless Chief Experts and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your (a) use of the Site or Services, (b) User Content, or (c) violation of these Terms or applicable law.

17) Governing Law; Arbitration; Class‑Action Waiver
  • Governing Law. These Terms are governed by the laws of the State of Minnesota, without regard to conflict‑of‑laws rules.

  • Arbitration. Any dispute arising out of or relating to these Terms or the Site/Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat/location of arbitration is Hennepin County, Minnesota. The language is English. Judgment on the award may be entered in any court of competent jurisdiction.

  • Exceptions. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of IP rights. Either party may also bring an individual action in small‑claims court.

  • Class‑Action Waiver. You and we waive any right to resolve disputes through class, representative, or consolidated actions.

18) Suspension & Termination
We may suspend or terminate your access for any violation of these Terms or if required by law. Upon termination, your right to use the Site/Services ceases, but provisions that by their nature should survive (e.g., IP, licenses already granted, payment obligations, disclaimers, limitations of liability, arbitration) shall survive.

19) Miscellaneous
  • Assignment. You may not assign these Terms without our prior written consent. We may assign to an affiliate or successor.

  • Force Majeure. Neither party is liable for delays or failures due to causes beyond reasonable control (e.g., natural disasters, war, pandemics, labor disputes, outages) provided reasonable efforts are used to mitigate.

  • Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

  • Entire Agreement. These Terms, together with any order forms, product‑specific terms, and the Privacy Policy, are the entire agreement between you and us regarding the Site and Services.

  • Notices; Electronic Communications. You consent to receive notices and communications electronically. We may contact you using the information you provide.
