TESTIMONIAL RELEASE AGREEMENT

This Testimonial Release Agreement (“Agreement”) governs the submission and use of testimonials, reviews, endorsements, ratings, comments, feedback, video recordings, audio recordings, or other statements (“Testimonial”) provided by you (“Participant”) to Chief Experts, Inc. (“Company,” “we,” “us,” or “our”).
By submitting a Testimonial, appearing on video or audio, posting feedback in a community or program, or otherwise providing a statement regarding the Company or its offerings, you agree to the terms of this Agreement.
1. DEFINITION OF TESTIMONIAL
A “Testimonial” includes but is not limited to any statement — written, verbal, visual, or digital — that expresses an opinion, experience, or outcome relating to:
- Company programs
- products or services
- coaching or education
- software or tools
- community participation
- events or workshops
- calls, Q&A submissions, or messages
This includes content intentionally submitted by you and content naturally generated through participation (such as comments posted in a community or recorded during calls).
Permitted participant attributes (as selected by you):
- Name, - Image/photo, - Video, - Audio, - Social media handle, - Business name, - Revenue or result statements, - Location
2. LICENSE YOU GRANT TO THE COMPANY
By submitting or sharing a Testimonial, you grant the Company a perpetual, worldwide, royalty-free, irrevocable, transferable, sublicensable license to:
- use
- display
- reproduce
- publish
- distribute
- edit
- caption
- crop
- create derivative works
- translate
- incorporate into marketing, advertising, or promotions
- include in educational or training content
- repost on social platforms
- use across all media now known or later developed
This license applies to all forms of media, including:
- websites
- social media
- landing pages
- emails
- ads
- online courses
- webinars
- promotional materials
- press releases
- AI-generated remixes, summaries, or compilations
Where your Testimonial may appear (selected by you):
Website, Sales pages, Social media, Emails, Ads, Print materials
In simple terms, this license allows the Company to use your testimonial exactly as intended—truthfully and respectfully—in places where testimonials are commonly shown, such as websites, social media, emails, ads, or educational materials.
The legal words above may sound broad or technical, but they do not give the Company permission to change the meaning of what you said, twist your words, or present your testimonial in a misleading way.
They are necessary because:
• testimonials often need light editing for clarity, length, formatting, captions, or grammar;
• the Company may need to resize or crop images for different platforms;
• digital content can appear in many formats, devices, and media types;
• once something is online, it may need to be reposted, translated, or adapted for new technologies (including AI summaries or compilations).
You are simply giving the Company permission to use your testimonial accurately and appropriately across different media so it can be shared with others in the normal course of business. The scope of the license ensures the Company can display your testimonial wherever it is needed without repeatedly asking for permission each time.
3. AI TRANSFORMATIONS OF TESTIMONIALS
You acknowledge and agree that the Company may use artificial intelligence tools to:
- transcribe, summarize, extract, or caption statements
- correct grammar, clarity, or readability
- generate highlight clips or soundbites
- create derivative versions
- repurpose content across platforms
- classify, analyze, or tag content
- generate promotional assets that include your Testimonial
Such transformations do not change your ownership of your original content, but remain licensed under this Agreement.
4. EDITING & CLARITY ADJUSTMENTS
Based on your selection in the intake form:
Editing permission: Yes
The Company may make reasonable edits for:
- clarity
- length
- grammar
- formatting
- removing confidential or irrelevant details
- correcting transcription errors
- removing sensitive information
The Company will not create misleading representations or fabricate statements you did not make.
5. ACCURACY OF STATEMENTS
You represent and warrant that:
- your Testimonial reflects your honest and truthful experience,
- you will not knowingly exaggerate or misrepresent results,
- you will not attribute unrealistic or guaranteed outcomes to Company programs,
- statements related to earnings or health (if applicable) will be factually accurate,
- you are not being compensated except as expressly disclosed.
This is required under the United States’ Federal Trade Commission (FTC) Endorsement & Testimonial Guidelines.
6. NO EXPECTATION OF COMPENSATION
You understand and agree that:
- You are not entitled to payment or royalties for your Testimonial.
- The Company is not obligated to use your Testimonial.
- You waive any right to inspect or approve final use.
If compensation is provided (rare), it must be disclosed clearly and conspicuously by the Company.
7. RIGHT TO REQUEST REMOVAL
You may submit a removal request at any time to [email protected].
However:
- The Company may not be able to remove Testimonial content already used in printed, published, or permanent materials.
- Derivative works, edited versions, and AI-transformed versions may remain in circulation.
- The Company may decline removal if required for compliance with law, documentation, or dispute resolution.
This matches modern FTC-safe removal practices.
8. COMPANY’S RIGHT TO REMOVE OR DISCONTINUE USE
The Company may remove, hide, discontinue, or decline to use a Testimonial at its sole discretion, including if:
- content becomes outdated
- your statements violate law or policy
- the Company has concerns about accuracy, defamation, or misleading claims
- the Testimonial violates community, UGC (user-generated content), or earnings guidelines
- you request removal
9. REPRESENTATIONS & WARRANTIES
By providing a Testimonial, you affirm that:
- You are at least 18 years old.
- You have full legal authority to grant this release.
- The content does not infringe any intellectual property, contract, or privacy rights.
- Your statements comply with applicable laws.
- You are not submitting content on behalf of someone else without permission.
10. RELEASE OF LIABILITY
To the fullest extent permitted by law, you release and discharge the Company from any claims arising out of:
- use of your Testimonial
- editing, cropping, summarizing, or transforming your content
- publication, distribution, AI-processing, or display
- any likeness or identifying information included in your Testimonial
You waive all rights of publicity, privacy, and defamation relating to permitted use.
11. TERM OF LICENSE
Duration selected by Participant:
Perpetual
If “perpetual” is selected, the license does not expire.
If a time-limited option is selected, Company will make reasonable efforts to discontinue use after the expiration date, subject to exclusions in Section 7.
